Terms & Conditions

This is a courtesy translation provided for convenience. The Spanish-language version of this document is the legally binding one and shall prevail in case of any discrepancy.

1. Purpose

These Terms & Conditions govern the provision of consulting services in automation, artificial intelligence, data analytics and cybersecurity — including the "Analytics 360" service (Phase 1 Diagnosis and Phase 2 Implementation) — offered by Facundo Gimenez, trading as We Automate, to businesses and professionals.

2. Engagement process

The relationship begins with a free, no-obligation initial consultation, via the site's contact form, email or WhatsApp. After that consultation, we send you a proposal with a fixed, tailored quote based on the scope of your project. The contractual relationship is formalised once you expressly accept that proposal (by email, signature or equivalent means). For larger-scope projects, these Terms are supplemented by a specific statement of work (SOW) signed between the parties, which prevails over this document in case of conflict.

3. Pricing

The indicative amounts published on the site (from EUR 500 for Phase 1 — Diagnosis, from EUR 1,700 for Phase 2 — Implementation) are starting points. The final quote is set per project, based on its scope, the volume of systems or data to be integrated, and the agreed timeline. Prices do not include VAT unless expressly stated otherwise.

4. Payment terms and delivery

The payment method is agreed in each proposal; the standard practice is an upfront payment plus one or more delivery milestones, unless another arrangement is agreed. Delivery timelines indicated in each proposal are indicative and may vary for reasons beyond We Automate's control, such as the availability of information or access on the client's side.

5. Ownership of deliverables

Unless otherwise agreed in the corresponding SOW, deliverables developed specifically for the client (reports, automations, dashboards and similar) become the client's property once full agreed payment has been made. We Automate retains ownership of its general methodology, templates and internal reusable tools that are not specific to the client's project.

6. Confidentiality

Both parties agree to keep confidential any business information shared during the project, and not to disclose it to third parties without authorisation. This obligation remains in force during the contractual relationship and for a reasonable period after its termination.

7. Liability

We Automate provides its services with due professional diligence. It does not guarantee specific business outcomes (such as sales increases or cost savings) unless expressly committed to in writing in the proposal. We Automate's liability towards the client is, in any case, limited to the amount actually paid by the client for the relevant project, except in cases of wilful misconduct or gross negligence.

8. Termination and cancellation

Either party may terminate the contract by written notice with reasonable advance notice (indicatively, 15 days). In the event of termination, work already carried out and not yet invoiced will be settled in proportion to the project's progress.

9. No right of withdrawal

The services governed by this document are contracted by businesses and professionals acting within their professional activity (B2B relationship). Therefore, the 14-day right of withdrawal provided for under the Spanish Consolidated Consumer Protection Act (TRLGDCU), reserved for end consumers, does not apply. If, exceptionally, the client contracts as an end consumer, the applicable legal regime will apply instead.

10. Applicable law and jurisdiction

These Terms are governed by Spanish law. For any dispute between professionals or businesses arising from the provision of these services, the parties submit to the Courts of Barcelona, without prejudice to any jurisdiction that may apply on a mandatory basis.
